  • Overview

    The MLS Legal department is seeking a Paralegal to assist with the preparation of legal documents, including corporate filings and commercial contracts, handle various research projects, prepare rights summaries/charts, and track the status of pending agreements. 


    • Manage process of preparing, distributing and executing a high volume of commercial agreements, amendments, renewals and other related documentation
    • Updates and organizes corporate governance document files; assists with domestic business filings (state filings and annual reports)
    • Assist with document due diligence review for business transactions, and with discovery on litigation matters
    • Assist (under supervision of MLS attorneys) with preparation and negotiation of legal documents and redlines, and draft routine letters and other correspondence
    • Document production and management, including but not limited to:
      • Coordinating signatures to contracts, filings, and other documents
      • Assisting with maintenance of Legal Files (online and physical files)
    • Summarize contracts, providing and maintaining necessary contractual/research information and rights analysis in response to business requests
    • Maintain Contracts database and generate relevant reports as requested
    • Handle various post-execution matters such as obtaining and processing insurance certificates, responding to customs authorization requests, preparing notices of non-renewal, etc.
    • Collect, review, file, and track certificates of insurance

    Education and Experience

    • Bachelor’s Degree
    • Paralegal certificate (or similar credential)
    • 4+ years of law firm
    • Extensive previous experience at a law firm and/or within a corporate legal department strongly preferred

    • Strong interpersonal skills and the ability to effectively communicate, both written and verbally
    • Proficiency in Word, Excel, PowerPoint and Outlook
    • Demonstrated decision making and problem-solving skills
    • Detail-oriented with the ability to multi-task and meet deadlines with minimal supervision


    Desired Skills

    • Knowledge of contest and sweepstakes, federal and state laws and regulation of promotions and advertising a plus
    • Knowledge of the Spanish and/or French Language (business proficiency)
    • Familiarity with DocuSign
